Terms of Service

These terms are launch scaffolding for a standard SaaS agreement. They are intentionally practical and product-oriented, but they are not a substitute for legal review.

Before launch, you should customize billing language, governing law, dispute resolution, entity name, contact details, and any enterprise-specific commitments to match your actual business and risk posture.

Using The Service

These Terms of Service govern your access to and use of ContextVault, including the website, hosted application, APIs, MCP endpoints, and related services. By using the service, you agree to these terms.

You may use ContextVault only in compliance with these terms and applicable law. You are responsible for activity that occurs under your account and inside your organization.

Accounts, Organizations, And Access

You must provide accurate information when creating an account and keep your credentials secure. You are responsible for managing your organization members, seats, groups, and permissions appropriately.

We may suspend or restrict access if we believe an account, organization, integration, or request pattern threatens the security, integrity, or availability of the service.

Subscriptions, Billing, And Trials

Certain features require a paid subscription. By subscribing, you authorize us and our payment processor to charge the applicable fees, taxes, and renewals unless canceled in accordance with the plan terms.

Trial, seat, memory, query, and group limits may be enforced technically. If a subscription lapses, we may restrict features or access until billing is brought back into good standing.

Customer Data

As between you and ContextVault, you retain your rights in the content and business data you submit to the service. You grant us the rights necessary to host, process, transmit, secure, back up, and display that data solely to operate and improve the service.

You are responsible for ensuring that you have the rights and permissions needed to submit data to ContextVault and to allow it to be processed through integrated systems.

Acceptable Use

You may not use ContextVault to violate law, interfere with the service, bypass limits, probe for unauthorized access, upload malicious code, abuse integrations, or infringe the rights of others.

  • Do not attempt to bypass seat, group, plan, rate-limit, or access controls
  • Do not reverse engineer or misuse the hosted service in a way that harms other customers or infrastructure
  • Do not use the service to store or process unlawful content
  • Do not interfere with authentication, billing, audit, or security systems

Intellectual Property

ContextVault and its related software, branding, documentation, and service features are owned by us or our licensors and are protected by intellectual property laws. These terms do not transfer ownership of our software or service to you.

Disclaimers

ContextVault is provided on an “as is” and “as available” basis except to the extent prohibited by law or otherwise stated in a separate written agreement. We do not warrant that the service will be uninterrupted, error-free, or suitable for every use case.

You should not rely on the service as a substitute for legal, financial, medical, or other professional advice.

Limitation Of Liability

To the maximum extent permitted by law, ContextVault and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data arising from or related to the service.

A final production version of these terms should include a liability cap and governing-law language reviewed for your jurisdiction and risk tolerance before launch.

Termination

You may stop using the service at any time. We may suspend or terminate access if you breach these terms, fail to pay applicable fees, or create security, legal, or operational risk.

Certain provisions, including those relating to ownership, disclaimers, limitations, billing obligations, and dispute handling, survive termination where appropriate.

Changes To These Terms

We may update these terms from time to time. If we make material changes, we may provide notice through the service, by email, or by updating the effective date above. Continued use after the effective date of updated terms constitutes acceptance of the revised terms.
